General terms and conditions

Location / frequency

Lessons take place online, at b-languages’s premises or at the offices of the company or public institution, on every working day between 8:00 a.m. and 8:00 p.m. The candidate is free to determine the frequency of the language training as well as the timing of the lessons.

Cancellation of level tests

Any scheduled level test that cannot take place must be cancelled via b-languages no later than 12:00 p.m. on the preceding working day (for a test scheduled on a Monday, no later than the previous Friday before 12:00 p.m.). Failing this, the level test will be charged.

Cancellation of lessons

Any scheduled lesson that cannot take place must be cancelled via b-languages no later than 12:00 p.m. on the preceding working day (for lessons on Monday, no later than the previous Friday before 12:00 p.m.). If this deadline is not respected, the lesson will be charged.

Scheduled group lessons may be cancelled a maximum of three (3) times. From the fourth cancellation onwards, the lessons will be charged. We ask the responsible persons within the company to inform the candidates accordingly.

If a candidate is unable to attend his or her intensive language training (semi-intensive training or residential training) during the agreed period, the company must inform b-languages at least eight (8) working days before the start of the training cycle. The candidate may then choose another period to attend the training.

The same cancellation rules apply to workshops. If the cancellation is not made in due time or occurs during an intensive language training (semi-intensive training, workshops or residential training), the full cost of the training will be invoiced. It is also not possible to reschedule one or more training days to a later date during an intensive training programme.

Interruption and/or suspension of lessons

A course is considered interrupted if the participant has not attended any lessons for six (6) consecutive weeks. Lesson records serve as proof. The training contract is then considered terminated.

If the lessons are not taken within the time limits set out below and if the course has not yet ended, the remaining hours will be considered as delivered and will be invoiced accordingly:

normal lesson cycle (e.g. a 30-hour course at a rate of 1 × 1h30 per week must be completed within 20 weeks) + 4 weeks catch-up period + cancellations by the teacher.

Definitive termination of lessons

If a lesson cycle is discontinued, the remaining hours may be taken over by another member of staff of the company, provided that the same course formula, the same frequency and the same target language are maintained.

If the new candidate cannot follow the same course formula and another teacher has to be assigned, five (5) lesson hours will be deducted to cover administrative costs. The company must decide within thirty (30) days who will take over the remaining hours. Failing this, the remaining hours will be considered as delivered and invoiced.

Prices

The prices of language training may be laid down in a framework agreement. For companies without a framework agreement, a price quotation is drawn up per training programme. In addition to the base rates for general language training, specific rates apply for specialised language seminars as well as for training in so-called “exotic languages” (Portuguese, Russian, Swedish, etc.).

A surcharge of 15% applies to courses held on Saturday mornings. A surcharge of 15% also applies to lessons held before 8:00 a.m. or after 8:00 p.m.

Invoicing

The invoice is issued after the first lesson has taken place. A group training course cannot be converted into a duo course or a private course. The same rule applies to a duo course, which cannot be converted into a private course.

Terms of payment

Invoices are payable at the registered office within thirty (30) days of the invoice date, unless expressly agreed otherwise. In the event of late payment, b-languages reserves the right to suspend the ongoing training until full payment of the invoice has been received.

Any complaints must be submitted within eight (8) days of the invoice date and must be confirmed by registered letter within the same period, failing which they will be deemed null and void.

In the event of total or partial non-payment of the debt on the due date, the outstanding balance shall become immediately payable by operation of law and without prior notice, increased by a fixed compensation of 10% as from the due date, with a minimum of €62, even if grace periods are granted, and without prejudice to any other costs, including reminder and legal costs.

In the event of non-payment on the due date, interest of 12% per annum shall accrue by operation of law and without prior notice. Non-payment of a single invoice on its due date renders the outstanding balance of all other invoices immediately payable by operation of law.

Only the courts of the registered office of B-Languages shall have jurisdiction to settle any disputes arising from this invoice.

Confidentiality

During the term of this contract (or of the training programme) and until twenty-four (24) months after its termination, the parties undertake not to approach or engage any personnel and/or appointees (trainers) of the other party for potential employment or assignment, without the prior written consent of the other party.

Obligation of means

b-languages is bound solely by an obligation of means and can only be held liable for errors caused intentionally and/or fraudulently.
